Terms of Service

NexGen Attorney Service Agreement

Effective Date: January 1, 2025

1. Acceptance of Terms

By accessing and using this website and its associated administrative platform (the "Platform"), you agree to these Terms of Service. If you do not agree to these terms, please do not use our services.

2. Services and License

The Platform is a proprietary software system provided by NexGen Agency ("Provider," "we," "us"). Magwai Thapelo is the architect of this system. Weltel Telecoms ("Client") is granted a non-exclusive, non-transferable license to use the Platform for its internal business operations.

Our services include but are not limited to:

  • Voice & Data Communication Solutions
  • Cloud Services and Infrastructure
  • Network Security Solutions
  • Print Management Services
  • Office Automation Systems
  • Network Infrastructure Design and Management

3. Intellectual Property (Critical Clause)

The Provider owns the Platform. This includes all source code, object code, software, design, architecture, features, and all related intellectual property rights.

Weltel Telecoms does not own the software. The Client owns only the data they input into the system.

This license is revoked if Weltel Telecoms fails to pay any owed fees to the Provider.

4. Client Responsibilities

Weltel Telecoms is responsible for its use of the Platform and the data it enters. The Client must:

  • Not reverse-engineer, copy, or resell the Platform
  • Maintain the confidentiality of login credentials
  • Use the Platform in compliance with all applicable laws
  • Provide accurate and up-to-date information
  • Notify the Provider of any security breaches immediately

5. Payment and Fees

Weltel Telecoms agrees to pay the Provider all fees as outlined in their project proposal and service agreements.

  • Access to the Platform may be suspended for non-payment
  • All fees are due within 30 days of invoice date
  • Late payments may incur additional charges
  • Service restoration requires payment of all outstanding amounts

6. Service Level Agreement

Weltel Telecoms commits to providing:

  • 99.9% network uptime for critical services
  • 24/7 technical support for enterprise clients
  • Response times as specified in individual service agreements
  • Regular system maintenance with advance notice

7. Data Protection and Privacy

Weltel Telecoms is committed to protecting client data:

  • All client data is encrypted and securely stored
  • We comply with POPIA and international data protection standards
  • Client data will not be shared with third parties without consent
  • Regular security audits and updates are performed

8. Disclaimer of Warranties

The Platform and services are provided "as is" and "as available." The Provider makes no warranties that the Platform will be uninterrupted or error-free. While we strive for excellence, we cannot guarantee 100% uptime or error-free operation.

9. Limitation of Liability

To the fullest extent permitted by law, the Provider (NexGen Agency/Magwai Thapelo) will not be liable for any lost profits, revenues, or data, or any indirect or consequential damages arising from the use or inability to use the Platform. Total liability shall not exceed the amount paid by the Client in the preceding 12 months.

10. Termination

Either party may terminate services:

  • With 30 days written notice for convenience
  • Immediately for breach of these Terms
  • Immediately for non-payment after 30 days past due
  • Upon mutual agreement of both parties

11. Force Majeure

Neither party shall be liable for delays or failures in performance resulting from acts beyond reasonable control, including natural disasters, war, terrorism, labor disputes, or government actions.

12. Governing Law

These Terms are governed by the laws of South Africa. Any disputes shall be resolved in the courts of Bloemfontein, Free State, South Africa.
